Terms of Service

These Terms govern use of the Kavanah Media hosted messaging platform by our Clients. By using the Service, you agree to these Terms.

1. The Service

JONRALLS LLC, operating under the trade name Kavanah Media (“Kavanah Media,” “we,” “us,” or “our”), provides a hosted messaging platform that consolidates Facebook Messenger, Instagram Direct, WhatsApp, email, and website chat into a single interface for ministry and nonprofit organizations (“Clients”).

2. Eligibility

The Service is intended for use by authorized representatives of organizations. By accepting these Terms, you represent that you have the authority to bind the organization on whose behalf you use the Service.

3. Acceptable Use

You agree:

• To comply with all applicable laws and with Meta’s Platform Terms, Developer Policies, and the WhatsApp Business Messaging Policy
• To message only end-users who have consented to receive messages from your organization
• Not to use the Service to send spam, harassing, deceptive, or unlawful content
• Not to bypass or attempt to bypass rate limits, security measures, or any access controls
• Not to use the Service to violate intellectual property rights or the privacy of others
• Not to use the Service to impersonate any person or organization

We may suspend or terminate accounts that violate these terms, including in response to directives from Meta Platforms.

4. Your Data

You retain ownership of your account data and the content of messages exchanged through the Service. You grant us a limited license to process that content solely to provide the Service.

You are responsible for the accuracy of data you provide and for obtaining all necessary consents from your end-users before initiating contact through the Service.

5. Privacy

Our Privacy Policy describes how we collect and use information. By using the Service, you acknowledge that you have read and understood it.

6. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may schedule maintenance windows with reasonable notice and may perform emergency maintenance without notice when necessary to protect the Service or our users.

7. Fees

Fees, billing terms, and refund policies are set out in the Client’s separate service agreement with Kavanah Media. Fees for third-party services accessed through the Service (such as messaging fees charged directly by Meta for WhatsApp Business messages) are governed by those third parties’ terms and are your responsibility.

8. Termination

Either party may terminate the Service at any time with reasonable notice. Upon termination:

• Your access to the Service is revoked
• Active data is retained for 30 days, then permanently deleted from active systems (see the Privacy Policy for backup retention)
• You remain liable for fees incurred prior to termination

We may suspend or terminate the Service immediately if you materially breach these Terms, if required by law or by Meta Platforms, or if your continued use poses a security risk to the Service or other users.

9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied. We do not warrant that the Service will be error-free, secure, or uninterrupted, or that messages sent through the Service will be delivered.

10. Limitation of Liability

To the maximum extent permitted by law, Kavanah Media’s total aggregate liability for any claim arising out of or relating to the Service is limited to the fees paid by you to Kavanah Media in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold Kavanah Media harmless against any claim, loss, or liability arising from your misuse of the Service, your violation of these Terms or of Meta’s policies, your messaging of end-users without proper consent, or your violation of any third party’s rights.

12. Modifications

We may modify these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent change. For material changes, we will notify Clients by email at least 30 days before the change takes effect. Continued use of the Service after the effective date of a change constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by the laws of the United States and the state in which JONRALLS LLC is registered, without regard to conflict-of-laws principles. Any dispute arising under these Terms will be resolved in the courts of that jurisdiction.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and any separate written service agreement between Kavanah Media and the Client, constitute the entire agreement between the parties regarding the Service.
